These Terms of Use (“Terms”) govern your access to and use of purposecapitalfunds.com (the “Site”), which is operated by Purpose Capital Funds, Inc., a Delaware public benefit corporation (“Purpose Capital,” “we,” “us,” or “our”). Purpose Capital is a brand of Purpose Capital Funds, Inc.

1. Acceptance of these Terms

By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Site. We may update these Terms at any time by posting a revised version on this page and updating the “Last updated” date. Your continued use of the Site after a change constitutes acceptance of the revised Terms.

2. Informational purpose only; no offer of securities

The Site is provided for general informational purposes only. Nothing on the Site constitutes, or should be construed as, an offer to sell or a solicitation of an offer to buy any security, fund interest, or other financial instrument, in any jurisdiction, to any person.

Any offering of interests in Full Spectrum Impact Credit™ or any other fund sponsored or advised by Purpose Capital or its affiliates (each, a “Fund”) will be made only by means of a confidential private placement memorandum or other definitive offering documents, and only to persons who meet applicable eligibility requirements, including status as an “accredited investor” as defined under Regulation D of the Securities Act of 1933. Those offering documents will contain material information, including risk factors, fees, and conflicts of interest, that is not on the Site and that supersedes anything on the Site. You should rely only on the offering documents in making any investment decision.

Interests in any Fund have not been registered under the Securities Act of 1933 or the securities laws of any state, and no Fund has been registered under the Investment Company Act of 1940.

3. No investment, legal, or tax advice

The Site does not provide investment, legal, tax, or accounting advice. Content on the Site, including descriptions of investment approaches, allocation targets (such as “70% liquid impact credit + 30% private impact credit”), performance objectives, market statistics, and impact methodologies, is general in nature and does not take into account your individual circumstances. Consult your own professional advisers before making any investment decision.

Any statement of investment objective, such as seeking to outperform the U.S. Aggregate Bond Index on a net basis, is a goal and not a guarantee. There can be no assurance that any Fund will achieve its objective or avoid losses. Past performance is not indicative of future results. Market statistics and figures cited on the Site are drawn from third-party sources we believe to be reliable but have not independently verified. Figures may be rounded, estimated, or dated, and are provided for illustration only.

Impact metrics, classifications, and “impact-aligned” percentages reflect Purpose Capital’s own methodology and judgment. They are not audited, are not based on a universally accepted standard, and may differ from how other parties would assess the same assets.

5. Impact Curator™ and sample portfolio data

The Site links to Impact Curator™, an application hosted at app.purposecapitalfunds.com and provided by Purpose Capital Funds, Inc. under the Purpose Capital brand. Use of Impact Curator is governed by separate terms presented within the application, not by these Terms.

Portfolio data displayed in Impact Curator’s public “Explore” view is a sample Full Spectrum Impact Credit portfolio presented for illustration. It does not represent the actual holdings, performance, or impact results of any Fund, and no inference about any Fund’s current or future portfolio should be drawn from it.

6. Permitted use

You may view and, for your personal, non-commercial reference, download or print pages from the Site, provided you keep all copyright and proprietary notices intact. You may not:

Copy, reproduce, republish, distribute, or create derivative works from Site content for commercial purposes without our prior written consent
Use automated means (bots, scrapers, crawlers) to access the Site or extract content, other than standard search-engine indexing
Attempt to gain unauthorized access to the Site, its servers, or connected systems
Interfere with the Site’s operation or security
Use the Site, including the contact form, to send spam, unsolicited commercial messages, or unlawful, defamatory, or infringing content
Misrepresent your identity or affiliation when contacting us
Use the Site in any way that violates applicable law

7. Intellectual property

The Site and its content, including text, graphics, logos, images, data, methodologies, software, and the selection and arrangement thereof, are owned by or licensed to Purpose Capital Funds, Inc. and are protected by United States and international copyright, trademark, and other intellectual property laws.

Purpose Capital™, Impact Curator™, and Full Spectrum Impact Credit™ are trademarks of Purpose Capital Funds, Inc. Other names and marks appearing on the Site, including the names of indices and cited sources, are the property of their respective owners and are used for identification only; no affiliation, sponsorship, or endorsement is implied.

Nothing in these Terms grants you any license to use our trademarks, and no right, title, or interest in the Site or its content is transferred to you.

8. Submissions

If you submit a message through the contact form or otherwise communicate with us, you represent that you have the right to share the information you provide. We treat contact form submissions as described in our Privacy Policy. Please do not send us confidential, proprietary, or sensitive financial information through the Site; use the contact form to initiate a conversation, and we will arrange a secure channel for anything sensitive.

Any ideas, suggestions, or feedback you send us about the Site or our products may be used by us without restriction or compensation to you.

9. Third-party links

The Site contains links to third-party websites, including app.purposecapitalfunds.com. Links are provided for convenience. We do not control third-party sites, do not endorse their content, and are not responsible for their availability, accuracy, or privacy practices. Your use of any third-party site is at your own risk and subject to that site’s terms.

THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF ACCURACY, COMPLETENESS, TIMELINESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, PURPOSE CAPITAL FUNDS, INC., ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE, WHETHER BASED ON CONTRACT, TORT, STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Nothing in these Terms limits any liability that cannot be limited under applicable law, including liability under the federal securities laws.

12. Indemnification

You agree to indemnify and hold harmless Purpose Capital Funds, Inc. and its affiliates, officers, directors, employees, and agents from any claims, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your violation of these Terms or your misuse of the Site.

13. Governing law and venue

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state courts located in Marin County, California, or the United States District Court for the Northern District of California, and you consent to the personal jurisdiction of those courts.

14. General

If any provision of these Terms is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver. These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Site and supersede any prior understandings. You may not assign these Terms; we may assign them without restriction. Section headings are for convenience only.
